1. Acceptance of Terms
By registering for, accessing, or using dbInvoices, you confirm that you have read and accepted these terms and our Privacy Policy. If you are entering into these terms on behalf of a company or other legal entity, you confirm that you have authority to bind that entity. If you do not agree, you must not use the service.
2. The Service
dbInvoices is a cloud-based invoicing and business management platform provided by Holy Faith Digital Books Software Developers. It includes features for sales and purchase invoicing, quotations, inventory and stock control, customer and vendor management, payments, financial reporting, and, where enabled, electronic fiscal invoicing.
3. Accounts and Access
- You must provide accurate, current, and complete registration details and keep them up to date.
- You are responsible for all activity carried out under your account and any sub-user accounts you create.
- Login credentials must be kept confidential and must not be shared outside your organisation.
- You must notify us immediately of any suspected unauthorised use of your account.
4. Subscription and Payment
Access to the service may be offered on a trial, subscription, or licensed basis. Fees, billing cycles, and included features are as stated in the plan or agreement applicable to your account. Unless stated otherwise, fees are payable in advance and are exclusive of applicable taxes. We may revise pricing with prior notice, effective from the start of your next billing period. Late or failed payment may result in suspension of access.
5. Customer Responsibilities
- Ensuring that the data you enter, including tax numbers, item details, and prices, is accurate.
- Reviewing invoices, reports, and fiscal submissions generated by the platform before they are issued or filed.
- Maintaining your own copies of critical records in line with your statutory obligations.
- Ensuring that your use of the platform complies with the laws applicable to your business.
6. Acceptable Use
You agree not to use the service to store or transmit unlawful content, to issue fraudulent or misleading documents, to attempt unauthorised access to the platform or other accounts, to interfere with or overload our infrastructure, to reverse engineer or copy any part of the system, or to resell access without our written consent.
7. Your Data
You retain ownership of the business data you enter into the platform. You grant us a limited licence to host, process, transmit, and back up that data solely to provide and support the service. Handling of personal data is described in our Privacy Policy. On termination, you may request an export of your data within a reasonable period before it is removed in line with our retention practices.
8. Tax and Regulatory Compliance
Where you enable fiscal features such as the ZRA Smart Invoice integration, the platform transmits documents to the relevant authority using the details you configure. You remain solely responsible for the accuracy and completeness of your tax filings, for the correctness of the data submitted, and for meeting your obligations under applicable tax law. We are not a tax adviser and nothing in the platform constitutes tax, legal, or accounting advice.
9. Availability and Support
We aim to keep the service available at all times but do not guarantee uninterrupted operation. Planned maintenance will be scheduled where practical to limit disruption, and we will give notice where reasonably possible. Support is provided through the channels published on our website during normal business hours.
10. Intellectual Property
The platform, its source code, design, documentation, trademarks, and all related intellectual property remain the exclusive property of Holy Faith Digital Books Software Developers. These terms grant you a non-exclusive, non-transferable right to use the service during your subscription and nothing more.
11. Third-Party Services
The platform may connect to third-party services such as payment gateways, messaging providers, and government systems. Those services operate under their own terms, and we are not responsible for their availability, accuracy, or actions.
12. Disclaimer of Warranties
The service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement, and we do not warrant that the service will be error-free or that any defect will be corrected within a specified time.
13. Limitation of Liability
To the extent permitted by law, we are not liable for indirect, incidental, special, or consequential losses, including loss of profit, revenue, goodwill, or data. Our total aggregate liability arising out of or in connection with the service is limited to the fees you paid for the service during the twelve months preceding the event giving rise to the claim.
14. Suspension and Termination
You may cancel your subscription in accordance with your plan. We may suspend or terminate access where you breach these terms, where payment is overdue, or where continued access poses a security or legal risk. Where practical, we will give notice and an opportunity to remedy the issue. Provisions relating to data, intellectual property, and liability survive termination.
15. Changes to the Terms
We may amend these terms from time to time. Material changes will be notified through the application or by email, and the revision date at the top of this page will be updated. Continued use of the service after changes take effect constitutes acceptance of the revised terms.
16. Governing Law
These terms are governed by the laws of the Republic of Zambia, and the courts of Zambia have exclusive jurisdiction over any dispute arising from them, without prejudice to any mandatory rights available to you under local law.
